*Monday, Aprill 11 meeting with Judith Katz (professional fundraising consultant) and Julia- Resource Development Director (RDD), regarding civiCRM database customization for nonprofit resource development.
Met with Judith. She gave me the rundown on catagorization of donor information, how to maneuver on a CRM, and the relevent querries ( for example, how often and when donations have been made by individuals) that should be made on a regular basis. Once the civi is in place I am able to help with the organization of the information on it so as to use it to it's greatest potential. Judith indicated that the civi that she is developing for one of her projects is proving to be difficult to get up and running using Joomla. However, she feels that Joomla has more capability for the average user than Drupal. The civi should have these catagories initially (they can be finessed as the project grows): Contacts- all the folks ever contacted; Prospects and Friends- all the people who have ever donated anything eve; Events- all events relating to GVCS(for example; Maker Faire, press, etc); Transactions- all $ crossing hands, including expenditures relating to resource developmen; Campaigns- fundraising drives; Reports- this one is the key- all querries are run through this catagory. It can assess who donated during certain time periods to who has fallen off regular donations;Search (a standard with CRM's; Admin- anything that is found to be relevent in relationship to admin. All of these catagories are seeded by the user and should be carefully managed. Judith expressed that this is the single most powerful tool she uses in fundraising. I will be happy to help seed the civi once it is up and running. Judith also offered, that once it is up, she would be happy to help fine tune as needed.

This contract shall be in effect for a period of 6 months (April 1, 2011 - October 1, 2011), and may be renewed by a continuation contract agreed upon in writing by both parties.

Terms

The roles for the respective parties are:
#RD shall provide Resource Development services to OSE.
#ED agrees to allocate payment for RD's services as in the next point.
This quantity shall consist of only the monies that comes in from private donors, Foundations, Corporations, Grants, Awards, or any other sources that arise as a result of the RD's efforts, but not those resources that come in from other sources (such as money raised by others who are not working as agents of the RD, money from Kickstarter, etc.)
#RD functions as Project Manager for the nonprofit resource development team, with the required duty of keeping a Resource Development Log on her activities.
#RD shall work as an independent contractor.
#RD shall contribute to developing an Organizational Structure for Fundraising by providing a Fiscal Sponsorship arrangement with a dedicated OSE bank account.
#Funding shall be allocated to the technical development of the GVCS, to pay the RD, and to cover any necessary overhead costs. In all cases possible, overhead costs shall be covered via in-kind and other donations.
#RD shall secure office supplies and material via in-kind contributions.
#RD shall pursue in-kind contributions for materials, supplies, equipment, and any other items necessary for the development of the GVCS.
#ED shall make allocation decisions for technical project development and for any non-fixed costs associated with the RD's activities.
#ED shall be the sole signatory on the OSE bank account, until another suitable signatory is approved by the ED.
#Decisions for OSE shall be made by ED. The Advisory Board shall assist the ED in decision-making.
#RD shall serve as a member of the Advisory Board, and in particular, the Resource Development Advisory Board.
#ED shall approve all allocation suggestions from the RD, such as travel expenses.
#To develop the Donor Package shall be completed by May 1, 2011.
#RD may recruit any other agents to act on her behalf, and money raised by these agents will be counted
#Participate in a weekly Resource Development meeting, unless otherwise agreed upon.
#RD shall produce an introductory blog with her video, and agrees to disclose this contract to
#RD and ED shall use CiviCRM for managing all contact relationships. All contacts shall remain as the exclusive property of OSE, for use consistent with the distributive economic goals of OSE. RD and ED agree to record all contacts and conversations in CiviCRM for use by any other OSE organizers. This database shall be access-restricted. ED shall moderate all access restrictions. To protect the identity of individuals in the database, ED and RD agree not to disclose any private information to third parties. Any third party interested in accessing the content may do so at a cost of US$1 billion payable to OSE.
#We're interested in expansion of resource development operations to other states. To facilitate this, RD agrees to document the process as much as possible on the Resource Development Log. This is useful for 2 reasons: (1) once a project is done, the implementor wants to move forward instead of going back to documentation; (2) nuances of the challenges, though important during development, are forgotten later on.
#RD moderates technical forum on resource development, and this forum shall be by invitation only, wiki notes as locked pages, and access-restricted CiviCRM database
#Resource Database for OSE - should be as open and accessible as possible to OSE organizers and collaborators. ED shall make decisions regarding access rights.
#ED shall employ NVC skills he will be learning with Judith Katz, in all communications with RD and her team. For each transgression he will pay the RD $20, a compliment either about her intellect or good nature, and offer up a real heartfelt apology to RD for having to endure unkind speech.

The terms of this contract are intended to be several. Failure to meet one term does not mean that the contract is void, but instead, best efforts shall be made to fulfill the other points.

Greetings Open Source Ecology Community!

My name is Julia Valentine and I have the great honor to serve OSE as the Resource Development Director. I came to OSE through my involvement in re-localization efforts in Sebastopol CA, where I live with my family. I am a mother of 3 boys, a Waldorf kindergarten teacher, Permaculture teacher, and a Core Team member of Transition Sebastopol. My work with Permaculture and the Transition Town movement left me feeling that there was something missing in our approach to resilience. Early last year a friend emailed me a link to OSE. I was immediately interested, and knew that the Open Source model of collaboration was the missing piece. Transition Sebastopol booked Marcin to speak to our community in November of last year, and I was inspired to lend my time and energy to the project.

Since that time, I have been working closely with Marcin and Angel Rodriguez to develop a strategy and platform for funding. Thus far we have concentrated on the organizational overlays necessary for growth. This includes partnering with a fiscal sponsor-The Terra Foundation- to obtain 501c3 tax exemption, developing a streamlined mission and values statement, and working with Angel- our Chief Operating Officer- to clarify roles and structural needs within the organization to support the growth we anticipate over the coming months. With this piece recently completed, we will be moving on to the meat of fundraising.

Angel and I will be working together to bring together the nonprofit funding possibilities, as well as develop a private sector business model as another means to fund the development of the GVCS. Both processes will be documented and posted on our wiki and forum as we progress. We will share with you the successes and failures as they arise. Please visit our Resource Development Forum to follow our progress and to lend your valuable input.

Currently the plan for non profit funding is to work toward developing teams of people who work in three major categories: individual donors, grant writing, and awards. In the mean time Angel and I will be pursuing all of these options to the best of our abilities. 75% of all not for profit funding comes from individual donors. This will be our main focus for funding, then splitting our time between grants and awards equally. Isaiah Saxon is in charge of our Kickstarter campaign, which along with the True Fans[a] is the bulk of our crowd sourcing endeavors. We feel confident that this strategy will work for OSE, and we look forward to collaboration from the community at large to move this effort forward.
Please feel free to contact me at julia at opensourceecology.org with any questions or comments.

On the 8th of March, 2011, the Core Team is meeting with Janelle Orsi in the Bay Area USA for a discussion on legal form for OSE. Janelle is a lawyer focusing on legal structures that facilite distributive economic development - a consultant and thought leader who published The Sharing Solution.

Here are some of the questions that we want to discuss:

1. Should we incorporate as an NGO or a non-profit organization?

2. Does tax-exempt distinction from the IRS apply to NGOs and non-profits alike?

3. Can we set up an NGO outside of governmental legal jurisdiction (ie, the true definition of NGO), while maintaining organizational coherence that allows us to accept private donations and private grants?

4. Can government entities contract with the NGO?

5. Are there any other options for organizational form desirable for developing the GVCS that are somewhere else in the spectrum from private to public jurisdiction?

6. Should we incorporate OSE or GVCS if our goal is 50/2/2?

7. If we go corporate as a 501c3 organization, can we set up parallel branches in other states, such as GVCS Inc, GVCS Florida Inc, etc?

8. In the corporate route, are there restrictions in terms of sharing officers or board of director members between different organizations? Can the same people operate organizations in 2 states?

9. Is there any reason to enter a foreign jurisdiction in another country as the situs of the corporation?

10. How do we handle Kickstarter funds?

11. What should a fiscal sponsorship agreement include?

12. How do we distribute funds among the projects and people?
