Preamble
Articles of Incorporation of a Nonprofit Corporation
The undersigned natural person(s) of the age of eighteen years or more for the purpose of forming a corporation under the Missouri Nonprofit Corporation Act adopt the following Articles of Incorporation:
Article 1

Will the corporation have members?

In the event of the dissolution of the Corporation, the Board of Directors shall cause the assets of the Corporation to be distributed as follows:
- All liabilities of the Corporation shall be paid or adequate provision shall be made for payment;
- All of the remaining assets of the Corporation shall be conveyed to an organization that is qualified as an exempt organization under Section 501 (c)(3) of the Internal Revenue Code of 1986 (or corresponding provision of any United States Internal Revenue law). If a recipient shall not so qualify, or if the Directors cannot agree upon a qualified recipient, the remaining assets shall be distributed by the court of appropriate jurisdiction within the State of Missouri as deemed appropriate by the court.
Article 8
The corporation is formed for the following purpose(s):
- The mission of the Open Source Ecology is to empower and engage people around the world to build and service their own industrial machinery and establish enterprises based on it. We manage an open source innovation development pipeline that translates conventional technology into the public domain under a free license for everyone’s benefit. We also provide hands-on trainings that cover jobs skills and enterprise development as well as distance-education programs to facilitate independent replication of the technology and business plans anywhere in the world.
- The Corporation is organized exclusively for educational, scientific, religious and charitable purposes within the meaning of Section 501 (c)(3) of the Internal Revenue Code of 1986 (or corresponding provision of any future United States Internal Revenue law). The Corporation shall receive and disburse funds, property and gifts of any kind for any qualifying charitable purpose. The Corporation may use its funding in the operation of any of its facilities and programs and activities and conduct any program, activity and or event, including the publishing of information and educational materials as deem appropriate under the provision of the IRS Code of 1986 or any future provisions of that Code.

The effective date of this document is the date it is filed by the Secretary of State of Missouri unless a future date is otherwise indicated:
